Tracy,

this means that mapserver cannot find proj definitions for the 
projection you have named.  This may be because:

1. the projection you typed in is incorrect (ie 43204 instead of 42034)
2. the system cannot find the epsg file.  This may mean that it needs to 
go in a "nad" subdirectory of c:\proj

Check 1. and then try 2. :)
