The FWTools downloads have migrated to:

  http://home.gdal.org/fwtools

I would expect it to include nearblack, but it is possible I forget
to include it.  If so, feel free to file a bug report against FWTools.

The bands must be 8bit (or at least are treated as 8bit), but you
can have multiple bands.  For a pixel to be treated as "near black"
all the bands have to satisfy the criteria.
