I don't know if you can set the transparency of your layer by COLOR and 
OUTLINECOLOR... anyway I think not...

You can obtain the same result with a "trick":
insert the polygon layer in your mapfile a first time by setting the 
transparency value that you prefer, this value will be the same for both 
area and boudaries...
Now re-insert the same layer a second time in the mapfile without 
setting transparency but using COLOR -1 -1 -1 for the polygon area.
